Agreement to our Legal Terms

We are Development LTD s. r. o., trading as HomeGalaxy (hereinafter "company", "we", "us" or "our"), a company registered in Slovakia at Gorkého 12, 811 01 Bratislava – Staré Mesto, Slovakia. VAT ID: SK2121299532.

We operate the website https://homegalaxy.eu (the "Site"), the mobile application HomeGalaxy.eu (the "App"), as well as all other related products and services (collectively, the "Services").

We provide the HomeGalaxy Marketplace service – a complete range of home and lifestyle products. We specialise in offering high-quality curated products, from home furniture to outdoor supplies, garden tools, decorations and more.

These Legal Terms constitute a legally binding agreement between you and Development LTD s. r. o. regarding your access to and use of the Services. By accessing the Services, you confirm that you have read, understood and agree to these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

We will notify you in advance of any planned changes. Changes will take effect seven (7) days after notification, except for changes relating to new features, security updates, bug fixes and court orders, which take effect immediately.

The Services are intended for users who are at least 18 years of age. Persons under 18 are not permitted to use or register for the Services.

1. Our Services

The information provided through the Services is not intended for distribution or use in any jurisdiction where it would be contrary to law. Persons accessing the Services from other locations do so at their own initiative and are solely responsible for compliance with local laws.

The Services are not designed to comply with industry-specific regulations (HIPAA, FISMA, etc.). You may not use the Services in violation of the Gramm-Leach-Bliley Act (GLBA).

2. Intellectual property rights

Our intellectual property

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics (collectively, "Content"), as well as the trademarks, service marks and logos contained therein ("Marks").

The Content and Marks are provided "as is" for your personal, non-commercial use or internal business purposes only.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and download or print a copy of the Content, solely for personal, non-commercial use or internal business purposes.

No part of the Services, Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed or otherwise exploited for any commercial purpose without our express prior written consent. Your submissions

Submissions: By sending any question, comment, suggestion, idea, feedback or other information about the Services ("Submissions"), you agree to assign all intellectual property rights in such Submissions to us. We own such Submissions and are entitled to their unrestricted use for any lawful purpose.

Responsibility: You confirm that you will not post Submissions that are unlawful, harassing, hateful, harmful, defamatory, obscene, discriminatory, misleading or otherwise objectionable. You are solely responsible for your Submissions.

3. User representations

By using the Services, you represent and warrant that:

1. all registration information will be true, accurate, current and complete,
2. you will maintain the accuracy of such information,
3. you have the legal capacity to agree to these Legal Terms,
4. you are not a minor in your jurisdiction of residence,
5. you will not access the Services through automated or non-human means,
6. you will not use the Services for any unlawful or unauthorised purpose,
7. your use will not violate any applicable law or regulation.

If you provide any false or incomplete information, we have the right to suspend or terminate your account.

4. User registration

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account. We reserve the right to change any username that we consider inappropriate, obscene or otherwise unsuitable.

5. Products

We make every effort to display product colours, features and specifications accurately. However, we cannot guarantee complete accuracy and your electronic display may not precisely reflect actual product colours and details. Availability depends on stock and we reserve the right to discontinue any products. Prices are subject to change.

6. Purchases and payment

We accept the following forms of payment:

• Visa, Mastercard, American Express, Discover
• PayPal, Google Pay, Apple Pay, GoPay

You agree to provide current, complete and accurate purchase and account information and to update it promptly. Sales tax will be added where applicable. All payments are made in EUR, GBP, USD, CZK, PLN, HUF.

We reserve the right to correct pricing errors (even after payment has been received), refuse any order and limit quantities per person, household or order.

7. Return policy

Please review our Return Policy posted on the Services before making any purchase.

8. Prohibited activities

You may not access or use the Services for any purpose other than those for which we make them available. As a user, you agree that you will not:

• systematically retrieve data to create collections, databases or directories without our written consent,
• deceive, defraud or mislead us and other users,
• circumvent, disable or interfere with security features,
• disparage, tarnish or harm us and/or the Services,
• use information from the Services to harass, abuse or harm others,
• misuse support services or submit false reports of abuse,
• use the Services in violation of applicable laws or regulations,
• engage in unauthorised framing or linking,
• upload or transmit viruses, trojans, spam or other harmful material,
• engage in automated use (scripts, bots, scrapers, etc.),
• remove copyright or proprietary rights notices,
• attempt to impersonate another user or person,
• upload material that functions as an information collection mechanism (spyware, web bugs, cookies, etc.),
• interfere with, disrupt or unduly burden the Services or networks,
• harass, intimidate or threaten our employees or agents,
• bypass access restriction measures,
• copy or modify the Services' software,
• decipher, decompile, disassemble or reverse-engineer the software (except as permitted by law),
• use, launch or distribute automated systems accessing the Services (except standard search engine or browser use),
• use a buying agent or purchasing agent,
• collect usernames or emails for unsolicited emails or automated account creation,
• use the Services for competitive or commercial purposes without consent,
• advertise or offer to sell goods and services,
• sell or transfer your profile,
• engage in fraudulent or misleading activities,
• infringe intellectual property rights,
• engage in unlawful activities,
• engage in spamming or unauthorised communications,
• hack or breach security,
• manipulate reviews or ratings,
• publish inappropriate content.

9. User contributions

We may provide you with the opportunity to create, submit, post, display, transmit, publish or distribute content and materials ("Contributions"). All Contributions are treated in accordance with our Privacy Policy.

When you create a Contribution, you represent and warrant that:

1. your Contributions do not infringe any proprietary rights (copyright, patents, trademarks, trade secrets, moral rights) of third parties,
2. you are the creator and owner, or have the necessary licences and permissions,
3. you have written consent from identifiable individuals in your Contributions,
4. your Contributions are not false, inaccurate or misleading,
5. your Contributions are not unsolicited advertising, spam or pyramid schemes,
6. your Contributions are not obscene, violent, harassing, defamatory or otherwise objectionable,
7. your Contributions do not ridicule, disparage, intimidate or abuse anyone,
8. your Contributions are not used for harassment or promotion of violence,
9. your Contributions do not violate any applicable law, regulation or rule,
10. your Contributions do not violate third-party privacy rights,
11. your Contributions do not violate laws protecting minors,
12. your Contributions do not contain offensive comments related to race, national origin, gender, sexual orientation or disability,
13. your Contributions do not otherwise violate these Legal Terms or applicable law.

10. Contribution licence

You agree that we may access, store, process and use information and personal data in accordance with our Privacy Policy and your settings.

By submitting feedback, you agree that we may use it for any purpose without compensation.

We do not claim any ownership right over your Contributions. You retain full ownership and are solely responsible for them.

11. Review guidelines

When posting reviews, you must adhere to the following criteria:

1. you should have direct experience with the person/entity being reviewed,
2. reviews must not contain offensive profanity or abusive, racist or hateful language,
3. reviews must not contain discriminatory references based on religion, race, gender, nationality, age, marital status, sexual orientation or disability,
4. reviews must not reference illegal activity,
5. you should not be affiliated with competitors when posting negative reviews,
6. you must not make conclusions about the legality of conduct,
7. you must not post any false or misleading statements,
8. you must not organise campaigns encouraging reviews.

We may accept, reject or remove reviews at our sole discretion. By posting a review, you grant us a perpetual, non-exclusive, worldwide, royalty-free, fully paid-up, transferable and sublicensable right and licence to reproduce, modify, translate, transmit, display, perform and distribute all review content.

12. Mobile application licence

Licence to use

We grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on devices you own or control. You must not:

1. decompile, reverse-engineer or disassemble the App (except as permitted by law),
2. make any modifications, translations or derivative works,
3. violate any applicable laws in connection with the App,
4. remove or obscure any proprietary notices,
5. use the App for commercial purposes for which it is not intended,
6. make the App available over a network to multiple devices or users simultaneously,
7. use the App to create a competing product,
8. use the App for automated queries or unsolicited emails,
9. use our proprietary information or interfaces to develop other applications.

Apple and Android devices

When using the App from the Apple App Store or Google Play ("App Distributor"):

1. the licence is limited to non-transferable use on an iOS or Android device,
2. we are responsible for maintenance and support – the App Distributor has no such obligation,
3. in case of warranty failure, you may notify the Distributor and the purchase price may be refunded,
4. you represent that you are not in an embargoed country and are not on any US restricted party list,
5. you must comply with applicable third-party terms,
6. App Distributors are third-party beneficiaries of this licence.

13. Third-party websites and content

The Services may contain links to third-party websites and content. These are not monitored or controlled by us and we are not responsible for them. If you choose to visit third-party sites, you do so at your own risk. You should review their terms and privacy policies.

14. Services management

We reserve the right (without obligation) to: (1) monitor the Services, (2) take legal action against violators, (3) restrict or disable contributions at our discretion, (4) remove excessively large files, (5) manage the Services to protect our rights and property.

15. Privacy policy

Please read our Privacy Policy. By using the Services, you agree to it. The Services are hosted in Canada, Poland, France, Slovakia, the USA and Germany. By continuing to use the Services, you consent to the transfer and processing of data in these countries.

16. Term and termination

These Legal Terms remain in effect while you use the Services. We reserve the right to deny access to any person for any reason, including blocking IP addresses, at our sole discretion and without notice. We may terminate your use, delete your account and all content at any time.

After account termination or suspension, you are prohibited from creating a new account under any name. We reserve the right to take legal action.

17. Modifications and interruptions

We reserve the right to change, modify or remove any content at any time without notice. We also reserve the right to modify or discontinue the Services. We cannot guarantee uninterrupted availability and are not liable for any downtime or interruptions.

18. Governing law

These Legal Terms are governed by Slovak law. The application of the UN Convention on Contracts for the International Sale of Goods is expressly excluded. EU consumers are additionally protected by the mandatory provisions of their country of residence. You consent to the non-exclusive jurisdiction of the courts of Bratislava.

19. Dispute resolution

The European Commission provides an online dispute resolution platform. Please contact us with any questions.

20. Corrections

The Services may contain typographical errors, inaccuracies or omissions. We reserve the right to correct any errors and change or update information at any time without prior notice.

21. Disclaimer

The Services are provided "as is" and "as available". You use them at your own risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We make no warranties regarding the accuracy or completeness of Content and are not liable for errors, personal injury or property damage, unauthorised access, transmission interruptions, viruses or losses arising from use of Content.

22. Limitation of liability

In no event shall we, our directors, employees or agents be liable for any direct, indirect, consequential, exemplary, incidental, special or punitive damages, including lost profits, revenue or data loss. Our total liability is limited to EUR 100. Some jurisdictions do not allow limitations on warranties or exclusions of damages – in such cases, limitations may not apply to you.

23. Indemnification

You agree to defend, indemnify and hold us harmless (including our subsidiaries, affiliates, officers, agents, partners and employees) from losses, damages, liabilities and third-party claims arising from: (1) your use of the Services, (2) breach of the Legal Terms, (3) breach of your representations and warranties, (4) infringement of third-party rights, or (5) harmful conduct towards other users.

24. User data

We retain data for the purpose of managing the Services. You are solely responsible for the data you transmit. We are not liable for any loss or corruption of such data.

25. Electronic communications, transactions and signatures

Visiting the Services, sending emails and completing forms constitutes electronic communication. You agree that all electronic communications satisfy any legal requirements for written communication. You consent to the use of electronic signatures, contracts, orders and records.

28. Miscellaneous

These Legal Terms and all policies posted on the Services constitute the entire agreement between you and us. Failure to exercise any right does not constitute a waiver. We may assign our rights and obligations at any time. We are not liable for circumstances beyond our control. Invalidity of one provision does not affect the others. No joint venture, partnership, employment or agency relationship is created.
